CraftSchoolship Inc. provides educational technology solutions designed to enhance learning experiences and streamline school operations. Our Services include, but are not limited to: Learning Management System (LMS) platforms for course management, content delivery, assessments, grading, and collaborative learning; Enterprise Resource Planning (ERP) systems for administrative and operational tasks; mobile applications for accessing educational tools and school management features; communication and engagement tools for educators, students, and parents; and related digital solutions for educational institutions.
4. User Accounts
4.1 Account Creation
To access certain features of our Services, you may be required to create an account or have an account created on your behalf by an authorized administrator. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account information.

The subscribing institution is responsible for ensuring that all users under its account comply with these Terms and any additional institutional policies.

You agree not to use the Services in any way that violates any applicable federal, state, local, or international law or regulation, including laws regarding the transmission of educational data and student privacy.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your authorized educational and administrative purposes. This license does not include any right to resell or make commercial use of the Services outside of your authorized scope, nor to copy, reproduce, or modify any portion of the Services.
8. User Content
You may be able to submit, post, or otherwise make available content through the Services, including course materials, assignments, assessments, communications, and other educational content ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display your User Content solely as necessary to provide the Services to you and your institution.
You represent and warrant that you own or have the necessary rights to submit your User Content and that your User Content does not violate the rights of any third party, including intellectual property rights and privacy rights, or any applicable law.
9. Subscription and Payment Terms

Access to certain features of our Services may require a paid subscription. Subscription plans, pricing, and features are described on our website or in separate service agreements with educational institutions. We reserve the right to modify our pricing and subscription offerings at any time, with notice to existing subscribers as required by applicable agreements.

WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE EDUCATIONAL OUTCOMES, ACADEMIC PERFORMANCE, OR LEARNING RESULTS FROM USE OF THE SERVICES. THE SERVICES ARE TOOLS TO SUPPORT EDUCATION AND ADMINISTRATION, AND ACTUAL OUTCOMES DEPEND ON MANY FACTORS OUTSIDE OUR CONTROL.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CRAFTSCHOOLSHIP INC., ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO SUCH LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
14. Indemnification
You agree to defend, indemnify, and hold harmless CraftSchoolship Inc. and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services, your User Content, or your violation of any rights of a third party.
15. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. For institutional subscribers, termination rights and data export procedures may be governed by separate service agreements. All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Santa Clara County, California, and you consent to the personal jurisdiction of such courts.
17. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy, any applicable service agreements, and any other legal notices published by us on the Services, constitute the entire agreement between you and CraftSchoolship Inc. concerning the Services. These Terms supersede any prior agreements or understandings between you and CraftSchoolship Inc. relating to the Services, except to the extent a separate written agreement has been executed between the parties.
