Educational institutions, administrators, educators, and parents or legal guardians may authorize use of certain Services by minors under their supervision, provided such use complies with applicable laws and institutional policies. By using our Services, you represent and warrant that you meet these eligibility requirements. If you are using the Services on behalf of an educational institution, school, or other organization, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Description of Services

CraftSchoolship Inc. provides educational technology solutions designed to enhance learning experiences and streamline school operations. Our Services include, but are not limited to: Learning Management System (LMS) platforms for course management, content delivery, assessments, grading, and collaborative learning; Enterprise Resource Planning (ERP) systems for administrative and operational tasks; mobile applications for accessing educational tools and school management features; communication and engagement tools for educators, students, and parents; and related digital solutions for educational institutions.

4. User Accounts

4.1 Account Creation

To access certain features of our Services, you may be required to create an account or have an account created on your behalf by an authorized administrator. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account information.

4.3 Institutional Accounts

Educational institutions subscribing to our Services may create and manage accounts for their administrators, educators, students, and other authorized users. The subscribing institution is responsible for ensuring that all users under its account comply with these Terms and any additional institutional policies.

5. Acceptable Use Policy

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services in any way that violates any applicable federal, state, local, or international law or regulation, including laws regarding the transmission of educational data and student privacy.

Prohibited activities include, but are not limited to: transmitting any harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content; impersonating any person or entity; interfering with or disrupting the Services or servers; attempting to gain unauthorized access to any portion of the Services, other accounts, or computer systems; using automated means to access the Services without our express written permission; sharing login credentials with unauthorized parties; uploading content that infringes on intellectual property rights; using the Services to engage in academic dishonesty; and engaging in any activity that could damage, disable, or impair the Services.

6. Educational Data and Student Privacy

6.1 Commitment to Student Privacy

We are committed to protecting the privacy of students and educators. We comply with applicable student privacy laws, including the Family Educational Rights and Privacy Act (FERPA) in the United States and similar regulations in other jurisdictions where our Services are offered.

6.2 Data Ownership

Educational institutions and users retain ownership of all educational records, student data, and content uploaded to the Services ("Educational Data"). We process Educational Data solely to provide the Services and do not use such data for advertising or marketing purposes unrelated to the Services.

6.3 Data Security

We implement reasonable administrative, technical, and physical safeguards designed to protect Educational Data from unauthorized access, disclosure, or destruction. However, no method of transmission over the Internet or electronic storage is completely secure, and we cannot guarantee absolute security.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Services and all content, features, and functionality thereof, including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement, are owned by CraftSchoolship Inc., its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. The CraftSchoolship name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CraftSchoolship Inc. or its affiliates.

7.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your authorized educational and administrative purposes. This license does not include any right to resell or make commercial use of the Services outside of your authorized scope, nor to copy, reproduce, or modify any portion of the Services.

8. User Content

You may be able to submit, post, or otherwise make available content through the Services, including course materials, assignments, assessments, communications, and other educational content ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display your User Content solely as necessary to provide the Services to you and your institution.

You represent and warrant that you own or have the necessary rights to submit your User Content and that your User Content does not violate the rights of any third party, including intellectual property rights and privacy rights, or any applicable law.

9. Subscription and Payment Terms

9.1 Subscription Plans

Access to certain features of our Services may require a paid subscription. Subscription plans, pricing, and features are described on our website or in separate service agreements with educational institutions. We reserve the right to modify our pricing and subscription offerings at any time, with notice to existing subscribers as required by applicable agreements.

9.2 Payment

By subscribing to paid Services, you agree to pay all applicable fees in accordance with the payment terms in effect at the time of purchase or as specified in your service agreement. All fees are non-refundable except as expressly set forth in these Terms or your service agreement.

10. Privacy

Your privacy is important to us. Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, and protect your personal information. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy. For educational institutions, additional data processing terms may be included in separate agreements.

The Services may contain links to third-party websites or integrate with third-party services, tools, or platforms that are not owned or controlled by us. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access any third-party website, service, or content from our Services, you do so at your own risk and agree that we have no liability arising from your use of or access to any third-party website, service, or content.

12. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE EDUCATIONAL OUTCOMES, ACADEMIC PERFORMANCE, OR LEARNING RESULTS FROM USE OF THE SERVICES. THE SERVICES ARE TOOLS TO SUPPORT EDUCATION AND ADMINISTRATION, AND ACTUAL OUTCOMES DEPEND ON MANY FACTORS OUTSIDE OUR CONTROL.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CRAFTSCHOOLSHIP INC., ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO SUCH LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

14. Indemnification

You agree to defend, indemnify, and hold harmless CraftSchoolship Inc. and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services, your User Content, or your violation of any rights of a third party.

15. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. For institutional subscribers, termination rights and data export procedures may be governed by separate service agreements. All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Santa Clara County, California, and you consent to the personal jurisdiction of such courts.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, any applicable service agreements, and any other legal notices published by us on the Services, constitute the entire agreement between you and CraftSchoolship Inc. concerning the Services. These Terms supersede any prior agreements or understandings between you and CraftSchoolship Inc. relating to the Services, except to the extent a separate written agreement has been executed between the parties.
